These Terms of Service (the “Terms”) govern access to and use of the software-as-a-service platform operated by Kondaro, Inc. (“Kondaro,” “we,” “us,” or “our”) at kondaro.com.
Using the platform constitutes acceptance of these Terms of Service and, for facilities handling protected health information, the accompanying Business Associate Agreement.
Kondaro grants a limited, non-exclusive, non-transferable license to access and use the platform for the customer’s internal business operations, for the duration of an active subscription.
Customers are responsible for the accuracy of information provided, for maintaining the confidentiality of login credentials, and for the actions of all authorized users on their account.
No reverse engineering or attempting to extract source code, no unauthorized extraction or scraping of data, and no use of the platform in violation of applicable law or a third party’s rights.
Fees are billed in accordance with the customer’s subscription agreement and are non-refundable except as required by law.
Kondaro acts as a HIPAA Business Associate for facility customers. Handling of protected health information is governed by the Business Associate Agreement executed between the parties, which controls in the event of any conflict with these Terms.
Kondaro retains all right, title, and interest in the platform itself; the customer retains ownership of its own data submitted to the platform.
Each party agrees to protect the other’s confidential information using at least the same degree of care it uses for its own confidential information.
The platform is provided “as is” without warranty of any kind, and Kondaro does not guarantee uninterrupted or error-free service.
To the maximum extent permitted by law, Kondaro’s aggregate liability arising from these Terms will not exceed the fees paid by the customer in the twelve months preceding the claim.
These Terms remain in effect for the duration of the subscription. Either party may terminate as provided in the subscription agreement. Provisions that by their nature should survive termination will survive, including confidentiality and limitation of liability.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
Kondaro may update these Terms from time to time and will notify customers of material changes via email or in-platform notice. Continued use following notice constitutes acceptance.
